• Is subject to final confirmation of order specifications, quantities, and material availability.

Orders & Manufacturing Terms

Orders placed with Day Clothing Limited are governed by our separate Manufacturing Agreement or Purchase Order Terms, which will be provided at the time of engagement. General terms include:

• All orders require a written purchase order signed by an authorised representative of the buyer.
• Production commences upon receipt of the agreed advance payment, approved samples, and confirmed technical specifications.
• Lead times are estimates only and may vary due to material availability, force majeure, or other factors beyond our control.
• Any changes to confirmed orders must be submitted in writing and may affect pricing and lead time.
• Day Clothing Limited reserves the right to decline any order at its sole discretion.

Payment Terms

• Standard payment terms are 50% advance upon order confirmation and 50% prior to shipment, unless otherwise agreed in writing.
• Payments shall be made in the currency specified in the invoice (USD, EUR, or BDT).
• Late payments may attract interest at 1.5% per month on the outstanding balance.
• Title to goods remains with Day Clothing Limited until full payment has been received.

Quality & Compliance

Day Clothing Limited is committed to manufacturing products that meet internationally recognised quality and compliance standards. All products are:

• Manufactured under BSCI, SEDEX, and ISO-compliant conditions.
• Subject to internal quality control inspection at every production stage.
• Available for third-party inspection at the buyer’s request (at buyer’s cost), subject to reasonable scheduling.
• Accompanied by relevant compliance documentation upon request.

Any claims regarding product defects or non-conformance must be raised in writing within 14 days of goods receipt, with supporting evidence including photographs and inspection reports.

Limitation of Liability

To the fullest extent permitted by law:

• Day Clothing Limited shall not be liable for any indirect, consequential, special, or punitive damages arising from use of our website or services.
• Our total liability in connection with any order shall not exceed the value of that specific order.
• We are not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, civil unrest, government actions, port closures, or global supply chain disruptions (force majeure).
• The website is provided “as is” without warranties of any kind, express or implied.

For commercial disputes between buyer and seller, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes may be referred to arbitration under the rules of the Bangladesh International Arbitration Centre (BIAC).
